By engaging with Xpezia for digital marketing and development services, the client agrees to the terms outlined below. These terms form a binding contract between the client and Xpezia.
Xpezia offers a range of digital marketing, eCommerce, and services, including SEO, PPC, social media marketing, content creation, web design and development, and mobile app design & development. All deliverables will be clearly outlined in the client’s proposal or contract, including timelines and scope of work.
While Xpezia strives to deliver exceptional results, we cannot guarantee specific outcomes such as a certain ranking on search engines, increased traffic, or conversion rates. Due to changes in search engine algorithms, industry competition, and other variables outside of our control, performance fluctuations may occur. Xpezia will not be liable for such changes beyond our reasonable efforts.
The client agrees to provide Xpezia with all necessary materials and access, including login credentials, content, and assets, as outlined in the project proposal. The client must ensure that all provided content complies with applicable laws and does not infringe on third-party rights.
All invoices must be paid within the agreed timeframe, as outlined in the contract. Failure to make payments may result in a suspension of services or termination of the contract. Xpezia reserves the right to pause any campaigns or digital efforts until payment is settled.
Either party may terminate the contract with 30 days’ written notice. Xpezia reserves the right to terminate services immediately if the client breaches any terms, fails to make timely payments, or engages in unethical practices. Upon termination, the client will be responsible for payment for any services delivered up to the termination date.
Xpezia is not liable for any indirect, incidental, or consequential damages that may arise from using our services, including lost profits or business interruption. Our liability, in any case, will be limited to the total amount paid by the client for the services provided during the previous 12 months.
All content, campaigns, and assets created by Xpezia during the contract remain the property of Xpezia until full payment is received. Upon payment, ownership of the final deliverables will be transferred to the client, except for any third-party tools or licenses used during the project.
Xpezia is not liable for delays or failures in performance caused by circumstances beyond our control, such as natural disasters, technical failures, or government actions.
These Terms and Conditions may be amended by Xpezia at any time. Clients will be notified of any significant changes before they take effect.
